Bill Ackman’s $64 bn UMG takeover hinges on billionaire Vincent Bolloré’s consent

Activist investor Bill Ackman has unveiled a $64 billion plan to merge Universal Music Group with a Pershing Square vehicle, but the deal requires the approval of French billionaire Vincent Bolloré, who controls a 28% stake.

Bill Ackman’s Pershing Square Capital Management has presented a $64 billion bid to merge Universal Music Group with a special-purpose acquisition vehicle, aiming to relist the label in New York and refresh its board with figures such as Michael Ovitz. The plan relies on €2.5 billion of cash from Pershing, additional debt and the sale of UMG assets, and would increase Pershing’s stake to roughly 11.7%. Vincent Bolloré, who commands a 28% share through a network of holdings, holds veto power and his reaction will determine the deal’s fate.

Analysts note that Bolloré’s history of demanding favorable terms could lead to a larger cash payout or a renegotiated structure. UMG’s board called the proposal unsolicited and nonbinding, expressing confidence in CEO Lucian Grainge’s strategy. Ackman has already spoken with Cyrille Bolloré, offering a high-level summary that was reportedly received with interest, though details remain unsettled.
