Bending Spoons signs definitive agreement to acquire collaboration platform Miro

Bending Spoons has entered a definitive cash deal to purchase Miro, pending regulatory approval and customary closing conditions.

Bending Spoons announced a definitive cash transaction to acquire 100% of Miro's outstanding shares, subject to regulatory clearance and standard closing conditions. The deal is slated to close in the fourth quarter of 2026, after which the two firms will remain separate entities during the interim. Certain Miro investors have committed to purchase new Bending Spoons stock as part of the arrangement.

Luca Ferrari, CEO and co-founder of Bending Spoons, said the acquisition will allow significant investment in performance, reliability and collaborative features. Andrey Khusid, CEO and co-founder of Miro, expressed enthusiasm for the partnership to advance the platform’s AI-driven workspace. Legal and financial advisors for both sides include Latham & Watkins, Ernst & Young, BNP Paribas and J.P. Morgan.
