Ember Infrastructure to acquire Ashtead Technology in £505m cash deal
New-York private-equity firm Ember Infrastructure Management agreed to buy Ashtead Technology for £505 million, offering 615p per share.
Ember Infrastructure Management, a private-equity firm based in New York, has signed a definitive agreement to acquire Ashtead Technology for a total consideration of £505 million, paying 615p in cash for each share. This price reflects an 80.9% premium compared with Ashtead’s closing share price of 340p on 22 September. The Ashtead board deemed the proposal fair and reasonable, labeling it a compelling opportunity for shareholders, and will advise them to vote in favour.
The transaction is slated to close in the fourth quarter of 2026 or early the next year. Ember’s chairman highlighted Ashtead’s resilience amid a challenging market and said the deal offers shareholders significant immediate value versus a standalone strategy. Ember intends to back Ashtead with long-term private capital to invest in its fleet, technology and workforce.
Why it matters
The deal shows continued private-equity interest in UK tech firms and could reshape Ashtead’s growth strategy.
