ITC Infotech’s $1 billion merger with Happiest Minds sets path for accelerated growth

ITC Infotech will merge with Happiest Minds, creating a $1 billion entity that aims to accelerate growth and expand AI capabilities.

ITC Infotech is set to acquire Happiest Minds, a move that will lift the combined business above the $1 billion threshold by fiscal year 2027-28, according to Chairman Sanjiv Puri and MD-CEO Manas Chakraborty. The partners said the larger scale will allow the firm to compete for multi-hundred-million-dollar projects and meet vendor size requirements, while preserving its 17-19 % EBITDA margin range. Happiest Minds contributes expertise in digital product engineering, data engineering and cybersecurity, including a niche generative-AI unit, complementing ITC Infotech’s strengths in managed services and PLM.

The acquisition is expected to double American-region revenue and broaden the portfolio into high-tech, ed-tech, healthcare and life-science sectors, alongside existing banking and insurance services. Both companies plan to integrate talent pools and align cultures, though some management roles may be redefined. Puri declined to comment on Mr Soota’s future stake, noting it remains a private decision.
