Nelson Peltz readies consortium bid to take Wendy's private, shares surge

Investors led by Nelson Peltz are preparing a takeover offer for Wendy's, sending the stock up about 15%.

Nelson Peltz is assembling a consortium that could feature BlueFive Capital and the Flynn Group, one of Wendy's longest-standing franchisees, to submit a bid to privatize the fast-food chain in the coming weeks. Peltz’s ownership has climbed to 16.24% from 16.09% a year earlier, and Trian’s stake has edged up to 7.85% from 7.78%, according to recent filings. Wendy's shares jumped about 15% on Wednesday after the prospective deal was reported.

The proposal comes as the company faces industry-wide pressure, having recently scrapped its fiscal 2026 forecast after a drop in quarterly comparable sales. Wendy's stated it will thoroughly review any offer consistent with its fiduciary responsibilities. Neither Trian, BlueFive Capital nor Flynn Group responded to comment requests.
