Nscale pursues roughly $3.5 billion in pre-IPO financing from investors

Cloud-infrastructure firm Nscale is negotiating with investors to raise about $3.5 billion before its IPO, including convertible notes and a large commitment from Nvidia.

Nscale, a provider of cloud infrastructure and GPU-driven AI compute, is in talks to secure about $3.5 billion in pre-IPO capital. The company intends to sell as much as $1.5 billion of convertible notes to a consortium of investors, and aims to obtain roughly $2 billion from Nvidia. Goldman Sachs is advising on the fundraising, with New York-based hedge fund Third Point expected to lead the note investment.

The convertible notes are offered at a double-digit discount to the IPO price, with the discount adjusted up to a $30 billion valuation ceiling. The terms remain fluid as negotiations continue. Previously, Anthropic agreed to a six-year, $45 billion AI-computing contract with Nscale’s data center campus in West Virginia. Nscale declined comment on the current talks.
