Poste Italiane urges TIM shareholders to join revised tender offer
Poste Italiane launched a new campaign asking Telecom Italia shareholders to accept its updated tender offer, which adds cash and new shares per TIM share.
Poste Italiane has rolled out a high-visibility advertising push, including a video of a man with his dog, to persuade holders of Telecom Italia (TIM) stock to join its tender offer. Under the latest terms, each TIM share submitted will be exchanged for 0.218 newly issued Poste Italiane shares and a cash payment of €1.97. This cash amount was raised by €0.30 from the earlier €1.67 proposal announced at the start of September.
The offer also removes the earlier condition that required shareholders representing at least two-thirds of voting rights to consent. Marco Liera, a consultant and author of the finance newsletter Il capitale, explained that the goal is to build a national telecommunications and cloud leader that serves Rome’s security needs. The campaign has been broadcast across public TV, private channels, and streaming platforms throughout Italy.
Why it matters
The deal could reshape Italy’s telecom sector by bringing key assets under greater state influence.
