Shareholders Approve Fox Corp.'s $22 Billion Purchase of Roku
Investors of both Fox Corp. and Roku have voted to endorse the $22 billion acquisition of the streaming platform.
Fox Corp. and Roku each convened special shareholder meetings on Wednesday, where most voting shares backed the proposed $22 billion takeover. The agreement, disclosed in June, values Roku at $160 per share, financed by about $14.2 billion in cash and the remainder in Fox Class A common stock. Fox expects to close the transaction in the first half of 2027, subject to clearance from the Justice Department and other regulators.
By adding Roku, Fox plans to strengthen its footprint in free, ad-supported streaming through assets like Tubi and the Roku Channel, and to grow its digital video advertising capabilities. CEO Lachlan Murdoch said the deal will shift the company into high-growth verticals, while Roku founder Anthony Wood will retain a role in the combined entity.
Why it matters
The merger creates a major player in streaming and digital advertising, reshaping the competitive landscape.
