Stoneweg Europe Stapled Trust moves to internalise managers and acquire logistics platform

Stoneweg Europe Stapled Trust (Sert) announced a deal to buy its sponsor's pan-European logistics and light-industrial platform, bringing in-house about 100 staff across Europe and Singapore.

Stoneweg Europe Stapled Trust disclosed a manager-internalisation plan that includes purchasing SWI Group’s pan-European logistics and light-industrial platform for €114 million. Sert will fund the acquisition with €80 million of newly issued stapled securities priced at €2 each, €34 million in cash, and may add €8.4 million for co-investment stakes. The deal brings roughly 100 employees from ten European jurisdictions and Singapore into Sert’s operations, covering 96 properties with 1.6 million sq m of lettable space and 46 third-party assets of 618,000 sq m. Post-transaction, SWI Group’s stake in Sert will rise to about 33 percent, and two strategic cooperation agreements will grant Sert exclusive logistics rights and capped referral fees. Sert aims to raise its logistics exposure to as much as 70 percent and its data-centre share to between 15 percent and 25 percent by 2028, positioning the internalisation as a growth-oriented strategy rather than merely a fee-saving measure.
