Tata Sons faces voting impasse as Trusts’ deadlock threatens AGM deadline

Tata Sons' upcoming AGM is at risk because the Tata Trusts, which hold 66% of shares, remain deadlocked over voting positions.

Tata Sons must secure a quorum and shareholder majority for several resolutions at its annual general meeting, but the Tata Trusts that collectively own 66% of the company are entrenched in a deadlock. The impending departure of Darius Khambata from both trusts may shift the balance to a potential three-to-two split between Noel Tata, Neville Tata and Bhaskar Bhat on one side and Vijay Singh and Venu Srinivasan on the other.

Lawyers caution that taking the dispute to the National Company Law Tribunal would be protracted, recommending instead a targeted remedy through the charity commissioner or judicial relief. After an earlier AGM attempt failed for lack of quorum, the company received a three-month extension moving the deadline to December. Experts stress that aligning the trusts’ voting rights and obtaining regulatory approval are essential to avoid further postponement and ensure the AGM can proceed.

Why it matters

The outcome will determine whether Tata Sons can meet its statutory obligations and implement key corporate decisions.
