Virginia regulators may block $67 billion Dominion-NextEra utility merger

Virginia’s State Corporation Commission staff recommends rejecting the proposed Dominion Energy-NextEra Energy merger unless strict conditions are added.

Staff of Virginia’s State Corporation Commission have advised the three-member panel to reject the Dominion Energy-NextEra Energy merger as proposed, warning that it may not ensure adequate service or reasonable rates for Virginians. The $67 billion transaction would combine the largest U.S. data-center market with the nation’s biggest renewable-energy developer, serving about 10 million customers across four states. Regulators suggest conditions such as adding four independent directors, capping NextEra’s dividend share, preserving Dominion’s Virginia workforce for a decade, and protecting ratepayers from merger-related costs or a potential bankruptcy.

Governor Abigail Spanberger has demanded a six-year residential rate freeze and increased bill credits, while Lt. Gov. Gahzala Hashmi has expressed outright opposition. The commission must issue its final ruling by mid-January 2027.

Why it matters

The decision will affect electricity rates and service reliability for millions of customers in Virginia and neighboring states.
