Tata Sons’ Chair N Chandrasekaran Faces Director Reappointment Vote Amid Quorum Crisis

Tata Sons has reappointed N Chandrasekaran as chair for a third term, but his continuation depends on a director-reappointment vote at a delayed AGM.

While Tata Sons’ board has confirmed N Chandrasekaran for a third five-year term as chair, his tenure hinges on a separate director-reappointment vote at the next AGM. The chair role itself bypasses shareholder consent, but the director seat must be approved by the shareholders, and the August meeting was postponed due to a lack of quorum. An extension from the Registrar of Companies allows the AGM to be held by December, after which a circular resolution will be sent to all six directors for a seven-day response.

The quorum problem persists because the Sir Dorabji Tata Trust and Sir Ratan Tata Trust, which together hold about 42% of shares, must jointly nominate a director, yet the latter is under a regulatory ban. Shareholders may seek a court-ordered meeting via one outlet Company Law Tribunal, but the voting arithmetic remains unchanged, with the trusts likely to vote against Chandrasekaran and Shapoorji Pallonji expected to support or abstain. Ultimately, the outcome rests on the Trusts bloc led by Noel Tata.
